Terms and Conditions
1. Agreement Overview:
These terms and conditions constitute a legally binding agreement between Professional Mechanical Services LLC, hereinafter referred to as “the Company,” and the client, hereinafter referred to as “the Client.” By engaging in our professional mechanical services, the Client agrees to be bound by these terms.
2. Scope of Services:
The Company agrees to provide professional mechanical services as outlined in the agreed-upon proposal or contract. Any additional services requested by the Client will be subject to a separate agreement.
3. Payment Terms:
Payment for services rendered is due as per the terms outlined in the invoice. The Client agrees to pay all fees promptly. Late payments may be subject to interest charges.
4. Cancellation and Rescheduling:
The Client may cancel or reschedule services by providing written notice to the Company. Cancellation fees may apply, depending on the timing of the notice.
5. Confidentiality:
Both parties agree to keep confidential any proprietary or sensitive information obtained during the course of the engagement. This includes, but is not limited to, trade secrets, client lists, and other business-related information.
6. Liability:
The Company shall not be liable for any damages, direct or indirect, arising out of or in connection with the services provided. The Client agrees to indemnify and hold the Company harmless from any claims or liabilities.
7. Force Majeure:
The Company shall not be held responsible for any delay or failure to perform its obligations due to circumstances beyond its control, including but not limited to acts of nature, government actions, or other unforeseen events.
8. Termination:
Either party may terminate the agreement with written notice if the other party breaches a material term of the agreement. Termination does not relieve the Client of the obligation to pay for services rendered prior to termination.
9. Governing Law:
This agreement shall be governed by the laws of [your jurisdiction]. Any disputes arising out of or in connection with this agreement shall be resolved through arbitration in accordance with the rules of the [Arbitration Association], and judgment upon the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.
10. Amendments:
These terms and conditions may be amended only in writing and signed by both parties.
By engaging in our professional mechanical services, the Client acknowledges that they have read, understood, and agreed to these terms and conditions.
